General Terms and Conditions

GTC / Terms of Use

1. Scope

These terms of use apply to the use of the communication platform PeopleChat, provided by:

By registering or using PeopleChat, you accept these terms of use.

2. Description of Services

PeopleChat is an internet-based communication platform that provides, among other things, the following functions:

- Text chat
- Group chats
- Voice calls
- Video calls
- Voice and video messages
- File, image, and video transfer
- Screen sharing (if available)
- AI-supported real-time translation of messages and conversations
- SMS and email verification
- User profiles
- Multilingual communication

The range of functions may be expanded, changed, or adapted at any time.

3. Registration

Minimum Age

Use of PeopleChat is permitted exclusively to persons who have reached the age of 18. By registering, the user confirms that they are of legal age. The date of birth is requested and stored during registration; registrations from persons under 18 years of age will be rejected. If there are reasonable doubts about the age provided, we are entitled to block the account until clarification and to request suitable proof of age. If it turns out that a user has provided an incorrect date of birth during registration, we are entitled to close the account without prior notice.

For certain functions, creating a user account is required.

The user undertakes to

- provide truthful information,
- keep their access data confidential,
- not transfer their account to third parties.

The user is responsible for all activities under their account.

4. SMS Verification

To verify a user account, PeopleChat may send one-time security codes (OTP) via SMS.
These SMS are solely for account security.
PeopleChat does not send advertising or marketing SMS without the explicit consent of the user.

5. AI Functions and AI-Generated Content

PeopleChat uses artificial intelligence to provide various functions, in particular:

- Text translation
- Speech translation
- Live translation
- Speech recognition
- Speech synthesis (text-to-speech), including an optional voice cloning feature

Automatically generated translations and speech outputs may contain errors. PeopleChat assumes no guarantee for the complete accuracy or completeness of machine-generated content.

Furthermore, PeopleChat uses on its website and in its marketing materials — including in the video trailer, banners, and other visual materials — content partially generated or edited with artificial intelligence. Details, especially the labeling according to Art. 50 of Regulation (EU) 2024/1689 (AI Regulation), can be found in the separate [AI Notice](/ki-hinweis.php).

By registering or using PeopleChat, the user acknowledges the use of artificial intelligence as described in this section and in the AI Notice.

6. User Obligations

The user undertakes in particular to

- not distribute illegal content,
- not publish offensive, discriminatory, or glorifying violence content,
- not distribute malware,
- not send spam messages,
- not circumvent security mechanisms,
- not infringe third-party copyrights.

7. Prohibited Use

The following are prohibited in particular:

- Spam
- Phishing
- Fraud
- Identity theft
- Harassment of other users
- Hate speech
- Terrorist content
- Child endangering content
- Illegal content of any kind
- Automated mass communication without permission

PeopleChat reserves the right to remove such content and to block user accounts.

8. Availability

PeopleChat strives for the highest possible availability. However, there is no entitlement to uninterrupted use at all times. Maintenance work, repairs, improvements, security updates, network or device failures, as well as events beyond the control of DIGSOIN LLC (e.g., natural events or other cases of force majeure) may lead to temporary restrictions.

DIGSOIN LLC continuously develops PeopleChat and may expand, change, or discontinue services, functions, and support for certain devices and platforms at any time.

DIGSOIN LLC may discontinue PeopleChat in whole or in part — including individual functions or support for certain devices and platforms — with a notice period of 30 days. This notice period does not apply in urgent cases, such as to prevent abuse, to comply with legal requirements, or to remedy security or operational problems.

Already concluded, not yet expired paid subscriptions as well as statutory user rights remain unaffected by the discontinuation of services; for already paid but no longer provided service periods due to discontinuation, a pro-rata refund will be made.

9. Intellectual Property

All rights to the software/code, design, logos, graphics, and functions of PeopleChat remain with DIGSOIN LLC or the respective rights holders.
Without written consent, content may neither be copied nor distributed or used commercially.

10. Data Protection

The processing of personal data is carried out in accordance with the current privacy policy of PeopleChat.

11. Liability

DIGSOIN LLC exercises the professional care required in business transactions when providing the services.

DIGSOIN LLC is fully liable for damages resulting from injury to life, body, or health that are based on intentional or negligent breach of duty, as well as for other damages based on intentional or grossly negligent breach of duty. Liability under the Product Liability Act and in the case of assumption of an explicit guarantee remains unaffected.

In the case of slightly negligent breach of essential contractual obligations (obligations whose fulfillment enables proper execution of the contract in the first place and on whose compliance the user regularly relies), DIGSOIN LLC's liability is limited in amount to the foreseeable, typical damage at the time of contract conclusion.

Otherwise, liability for slightly negligent breaches of duty is excluded.

The above limitations of liability apply in particular to damages caused by data loss, translation errors in automatically generated translations, connection interruptions, and other technical disruptions as well as to the non-continuous availability of the services (see section 8).

The above limitations of liability also apply in favor of the legal representatives and vicarious agents of DIGSOIN LLC if claims are asserted directly against them.

12. Responsibility for Content and Actions of Third Parties

PeopleChat is a communication platform through which users independently contact each other and exchange content. DIGSOIN LLC does not control and is not obliged to control which content users exchange or how they use the functions of PeopleChat in detail.

DIGSOIN LLC is only responsible for third-party content provided by users via PeopleChat within the framework of the statutory provisions for service providers (§§ 7 et seq. TMG or corresponding regulations) — in particular after becoming aware of illegal acts or information. If DIGSOIN LLC becomes aware of illegal content, it will be removed immediately (see section 7).

13. Indemnification

If a user culpably violates these terms of use or applicable law and a third party asserts claims against DIGSOIN LLC as a result, the user shall indemnify DIGSOIN LLC from these claims, including the costs of reasonable legal defense. This does not apply insofar as DIGSOIN LLC is responsible for the underlying violation or the asserted claims.

14. Applicable Law and Jurisdiction

The law of the US state of New Mexico applies, excluding the UN Sales Convention (CISG) and excluding the conflict of law rules of private international law.

If the user is a consumer and has their habitual residence in a member state of the European Union or another state whose law contains mandatory consumer protection provisions that may not be restricted by this choice of law, these mandatory provisions of the law of their habitual residence remain unaffected by the above choice of law.

The exclusive place of jurisdiction for disputes arising from or in connection with these terms of use is, to the extent legally permissible, Bernalillo County, New Mexico, USA. If the user is a consumer with habitual residence in the European Union, their right to sue DIGSOIN LLC before the courts of their own country of residence remains unaffected, insofar as this is granted to them by mandatory law.

15. Severability Clause

If individual provisions of these terms of use are or become invalid or unenforceable, the validity of the remaining provisions shall remain unaffected. In place of the invalid or unenforceable provision, the legally permissible provision shall apply that comes closest to the economic purpose pursued by the parties with the invalid or unenforceable provision. The same applies if these terms of use prove to be incomplete.

16. No Access to Emergency Services

PeopleChat is not a substitute for emergency services. You cannot make emergency calls with or via PeopleChat. An active contract with a mobile or landline provider is mandatory for this. PeopleChat does not provide access to emergency or urgent services — neither to police, fire department, ambulance, nor comparable emergency numbers — PeopleChat does not have a conventional telephone function with which you can call phone numbers. You can only communicate with persons who, like you, are registered with PeopleChat and have a valid subscription.

Ensure that in an emergency you can reach local emergency services (e.g., 112 in the EU or 911 in the USA) via a regular mobile, landline, or designated service — not via PeopleChat.

17. Technical Requirements and User Cooperation Obligations

Use of PeopleChat requires a functional device, a stable internet connection, and a current, supported software environment. The user is responsible for

- ensuring that their device (smartphone, tablet, computer) is functional and sufficiently powered,
- ensuring a stable internet connection, including contractual and financial prerequisites with their internet or mobile provider,
- using a current, supported browser — the current version of Google Chrome is recommended — as well as a current operating system with relevant security updates.

DIGSOIN LLC is not responsible for impairments of use resulting from these circumstances — such as an empty battery, outdated device or browser, dead zones, slow internet connection, or failure or blocking of the user's internet or mobile connection, including due to unpaid bills to their provider. Claims by the user against DIGSOIN LLC based on such circumstances solely within the user's sphere are excluded; the liability provisions (section 11) remain unaffected.
